These Terms and Conditions ("Terms") govern your access to and use of The 92118 Collective website, application, Cora artificial intelligence assistant, Key program, business directory, events, gigs, alerts, communications, dashboards, and any other services or features made available through The 92118 Collective (collectively, the "Platform").

The Platform is operated by 92118 Essentials LLC, doing business as The 92118 Collective ("The 92118 Collective," "The Collective," "we," "us," or "our").

By creating an account, accessing or using the Platform, purchasing a subscription or add-on, or otherwise using our services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you should not use the Platform.

PURPOSE OF THE COLLECTIVE

The 92118 Collective is a community-focused platform designed to make it easier for residents, visitors, local businesses, organizations, and other members of the Coronado community to discover and participate in local life.

The Platform may provide access to features including:

  • Local businesses and business profiles;
  • Restaurants, dining and hotels;
  • Community and local events;
  • Featured businesses and events;
  • Gigs and local opportunities;
  • Community information and alerts;
  • Cora, our AI-powered local information assistant;
  • The Key loyalty and engagement program;
  • Check-ins;
  • Unlocks and business-provided perks;
  • Business dashboards;
  • Business intelligence and analytics;
  • Community content;
  • Referral features;
  • RSVPs; and
  • Other features that may be introduced from time to time.

Features may vary by account type and may change as the Platform develops.

ACCOUNT TYPES

The Platform currently offers three primary account types:

  • Visitor Account
  • Resident Account
  • Business Account

Certain additional subscriptions, add-ons, promotions, beta features, or account levels may also be offered.

VISITOR ACCOUNTS

Visitor Accounts are currently offered free of charge.

A Visitor Account may provide access to features including:

  • Community events;
  • Public events;
  • Business listings;
  • Featured businesses;
  • Hotels;
  • Dining;
  • Public business and community information;
  • RSVP functionality for eligible events;
  • Applications to eligible gigs or opportunities; and
  • The ability to submit a request to claim a business.

Business Claims

A Visitor may request to claim a business profile. Submission of a claim does not automatically establish ownership or control of that business profile.

All business claims are subject to review and approval by The 92118 Collective.

We may request additional information or documentation to verify that the person requesting the claim is an owner, manager, employee, authorized representative, or otherwise has authority to manage the business profile.

We may approve, reject, revoke, or request additional verification for a business claim at our discretion.

Visitor Restrictions

Visitor Accounts do not currently have access to the Key program.

Visitors therefore cannot:

  • Participate in Key levels;
  • Earn Keys through check-ins;
  • Check in for purposes of the Key program;
  • Redeem Key-based Unlocks;
  • Advance through Key levels; or
  • Access other Resident-only Key features.

Visitor Accounts also may not currently post gigs or events unless we specifically enable such functionality.

Visitors may, however, apply to eligible gigs and RSVP to eligible events.

RESIDENT ACCOUNTS

Resident Accounts are intended for qualifying Coronado residents.

To create or maintain a Resident Account, you must provide a qualifying Coronado address and any other information reasonably requested during registration.

Address Verification

The 92118 Collective may verify residency at any time.

If we determine that additional verification is necessary, you may be required to provide reasonable proof of residency.

Examples may include documentation displaying your name and qualifying address or another verification method made available by the Platform.

We reserve the right to:

  • Request additional verification;
  • Reject a residency application;
  • Remove Resident status;
  • Convert a Resident Account to another account type; or
  • Restrict Resident-only features

if residency cannot reasonably be verified.

Providing false residency information may result in suspension or termination of your account.

Resident Features

Resident Accounts may receive access to Visitor features plus additional features including:

  • Cora;
  • The Key program;
  • Check-ins;
  • Key levels;
  • Unlocks;
  • Redemption of eligible business perks;
  • Resident-only experiences or calendars;
  • Personalized recommendations;
  • Referral features; and
  • Other Resident features made available from time to time.

Access to individual features is not guaranteed and features may be added, removed, modified, tested, limited, or replaced.

RESIDENT ACCOUNT STATUS

Resident Accounts are currently offered free of charge.

The free status of Resident Accounts may change at any time. Any such change will be communicated to affected users in advance and will be subject to the user's acceptance of the applicable pricing and terms before charges apply.

THE KEY PROGRAM

The Key is a community participation and engagement program available to eligible users.

Users may be able to earn progress through activities such as eligible check-ins, referrals, local participation, or other activities identified by the Platform.

The structure of the Key program may include different levels, qualifications, requirements, or benefits.

We may modify:

  • Key levels;
  • Qualification requirements;
  • Check-in rules;
  • Eligible activities;
  • Expiration policies;
  • Unlock requirements;
  • Business participation; or
  • Other elements of the program.

Participation in the Key program does not give a user ownership of Keys, levels, rewards, points, credits, or similar digital items unless expressly stated otherwise.

Keys and levels have no cash value unless specifically stated.

CHECK-INS

Eligible users may check in with participating businesses or locations through QR codes, links, technology integrations, or other methods provided by The Collective.

Check-ins must represent legitimate activity.

Users may not:

  • Create fraudulent check-ins;
  • Check in on behalf of other users;
  • Manipulate QR codes or links;
  • Use automated systems to generate check-ins;
  • Falsify visits, transactions, or activities; or
  • Attempt to manipulate Key status.

We may remove check-ins, adjust account levels, suspend Key privileges, or suspend accounts where we reasonably believe misuse has occurred.

UNLOCKS AND BUSINESS PERKS

Participating businesses may create perks, experiences, benefits, offers, or other incentives made available through the Key program ("Unlocks").

Unlocks are offered and fulfilled by the participating business, not by The 92118 Collective.

The Collective provides the technology through which businesses can publish and users can discover or access Unlocks.

Unless expressly stated otherwise, The 92118 Collective:

  • Does not provide the underlying product or service;
  • Does not control a business's employees;
  • Does not control inventory or availability;
  • Does not guarantee that an Unlock will be available at a particular time;
  • Does not guarantee that a participating business will correctly honor an Unlock; and
  • Is not responsible for the quality, safety, legality, availability, or suitability of goods or services provided by participating businesses.

Businesses are solely responsible for establishing and honoring the Unlocks they publish.

Users should review any conditions associated with an Unlock before attempting redemption.

An Unlock may have conditions including eligibility level, dates, availability, reservation requirements, quantities, exclusions, or other restrictions disclosed by the business.

Problems Redeeming an Unlock

If a participating business does not honor an Unlock that appears valid and available through the Platform, please report the issue through the Platform's chat or other customer-support method.

We may investigate reported issues but do not guarantee a particular resolution.

BUSINESS ACCOUNTS

Business Accounts are intended for businesses and authorized business representatives participating in The 92118 Collective.

A person creating or managing a Business Account represents that they have authority to act on behalf of the applicable business.

Business Accounts currently include features such as:

  • Business profile management;
  • Business dashboard;
  • One linked personal/Resident profile;
  • Resident-level Platform functionality available to the linked profile;
  • Cora access;
  • Key program participation;
  • Unlock creation and management;
  • Check-in information;
  • Customer engagement information;
  • Business intelligence and analytics;
  • Event or gig functionality where available;
  • Business profile insights; and
  • Additional business tools introduced over time.

Business Use of User Contact Information

Participating businesses may receive contact information from users who interact with them through the Platform, where permitted by applicable law. Businesses agree to use such information lawfully and for legitimate purposes related to their business and participation in The 92118 Collective, to comply with applicable privacy and marketing laws, and to honor applicable unsubscribe and opt-out requests.

The 92118 Collective does not control communications sent independently by participating businesses and is not responsible for a business's failure to comply with applicable communication, privacy, or marketing requirements.

Dashboard Features May Change

The Platform is under continued development.

Business dashboards, analytics, intelligence, reports, customer information, Key functionality, Unlock functionality, integrations, metrics, and other features may be added, modified, replaced, limited, moved, or discontinued.

Payment for a Business Account does not guarantee that every feature available when a business originally registered will remain unchanged indefinitely.

We will not materially eliminate the core paid service without providing any notice required by applicable law.

BUSINESS ACCOUNT FEES

The current standard Business Account price is:

$49 per month, unless another price, promotional offer, trial, or arrangement is displayed and accepted when the Business Account is created.

Applicable taxes may be added where required.

Business subscriptions are generally billed on a recurring monthly basis unless otherwise disclosed during enrollment.

By purchasing a recurring Business Account subscription, you authorize the applicable recurring charges disclosed at checkout until you cancel.

We will obtain any consent required by applicable automatic-renewal laws before initiating recurring billing.

PRICE CHANGES

The current Business Account price may change in the future.

We will not retroactively change fees for a billing period that has already been paid.

For recurring subscriptions, any price increase will be communicated in advance as required by applicable law and will include applicable cancellation instructions.

Where applicable, continued subscription following the effective date of a properly disclosed price change constitutes acceptance of the new subscription price, subject to any additional consent required by law.

CANCELLATION AND AUTOMATIC RENEWAL

Unless otherwise stated at enrollment, paid Business Accounts operate as continuous monthly subscriptions that automatically renew until canceled.

You may cancel your Business Account subscription through the online cancellation method provided within your account or another cancellation method we make available.

If you enrolled online, an online cancellation option will be provided as required by applicable California law.

Unless otherwise required by law:

  • Cancellation stops future renewals;
  • Your paid access generally continues through the end of the billing period already paid;
  • Partial months are not ordinarily prorated or refunded; and
  • Canceling your subscription does not necessarily delete your business profile from the public business directory.

We may continue displaying factual public information relating to a business after cancellation unless the profile itself qualifies for removal.

We will provide automatic-renewal notices, annual reminders, price-change notices, and other subscription communications when required by applicable law.

If a payment fails, we may retry payment, request an updated payment method, restrict paid features, or suspend the subscription.

Nothing in this section limits any cancellation or refund right provided by applicable law.

FEATURED BUSINESS ADD-ON

Businesses may have the option to purchase a Featured Business add-on.

Unless a different package is specifically displayed at purchase, a Featured Business package may include:

  • Featured placement on designated portions of The 92118 Collective Platform or landing page;
  • Up to approximately 30 minutes of on-location filming at the business;
  • One Instagram Reel published by The 92118 Collective; and
  • A special Featured Business mention associated with that content.

Scheduling is subject to mutual availability.

The business agrees to provide reasonable access and permission for filming.

The business represents that it has authority to permit filming at the applicable location and is responsible for obtaining any necessary permissions from employees, contractors, guests, property owners, or others appearing prominently in or affected by the filming.

Unless otherwise agreed, The 92118 Collective retains editorial discretion over content it creates and publishes.

Featured status does not guarantee:

  • A particular number of impressions;
  • Views;
  • Followers;
  • Leads;
  • Customers;
  • Revenue;
  • Cora recommendations;
  • Search rankings; or
  • Any specific commercial result.

The applicable price, duration, renewal status, and other conditions of a Featured add-on will be disclosed when purchased.

A Featured add-on will only recur automatically if recurring billing is clearly disclosed and affirmatively accepted.

BUSINESS RESPONSIBILITY FOR UNLOCKS

Businesses are solely responsible for the Unlocks, perks, offers, goods, and services they publish.

Businesses agree to:

  • Accurately describe each Unlock;
  • Clearly communicate applicable conditions;
  • Honor valid Unlocks in accordance with the published conditions;
  • Train relevant staff regarding active Unlocks;
  • Keep information reasonably current;
  • Remove or deactivate offers that cannot be honored; and
  • Treat eligible users fairly.

Staff training is strongly recommended.

A business should ensure that front-desk personnel, servers, sales staff, managers, instructors, and any other employees who may encounter a redemption understand the business's current Unlocks and redemption procedures.

The 92118 Collective is not responsible for a business's failure to properly communicate its participation or offers to its employees.

BUSINESS COMPLAINTS AND SUSPENSION

Users may report businesses that fail to honor valid Unlocks or otherwise misuse the Platform.

The 92118 Collective may review complaints and contact the business for additional information.

If more than two complaints — meaning three or more complaints — are filed alleging that customers were unable to redeem valid Unlocks, we may temporarily or permanently suspend the business's participation in the Key program, restrict its Business Account, remove Unlocks, or suspend the account while the matter is reviewed.

The existence of a complaint does not automatically establish that the business acted improperly.

We may consider:

  • The facts of the complaint;
  • Evidence provided by either party;
  • Published Unlock conditions;
  • Repeated patterns;
  • Whether staff were properly informed;
  • Whether the issue was corrected; and
  • Any other circumstances we reasonably consider relevant.

Serious misconduct may result in action without waiting for three complaints.

ACCOUNT SUSPENSION, RESTRICTION AND TERMINATION

The 92118 Collective reserves the right, subject to applicable law, to restrict, suspend, block, or terminate an account or specific Platform privileges where we reasonably determine that action is appropriate.

Reasons may include:

  • Violation of these Terms;
  • Fraud;
  • Providing false information;
  • False residency claims;
  • Fraudulent check-ins;
  • Manipulation of Key levels;
  • Abuse of Unlocks;
  • Repeated failure to honor business Unlocks;
  • Harassment or abusive conduct;
  • Unauthorized access;
  • Security threats;
  • Illegal activity;
  • Misuse of Platform data;
  • Impersonation;
  • Spam;
  • Attempts to manipulate Cora, rankings, recommendations, or analytics;
  • Conduct harmful to users, businesses, The Collective, or the community; or
  • Other material misuse of the Platform.

We may also remove or restrict content that violates these Terms.

Where appropriate, we may provide notice or an opportunity to resolve an issue, but we reserve the right to act immediately when reasonably necessary to protect users, businesses, the Platform, or others.

CORA — AI ASSISTANT DISCLAIMER

Cora is an artificial intelligence-powered feature intended to help users navigate information related to Coronado, participating businesses, events, alerts, community resources, and other information available through or accessible to the Platform.

AI Can Make Mistakes

Cora uses artificial intelligence.

Artificial intelligence systems can:

  • Misunderstand questions;
  • Generate incorrect information;
  • Omit relevant information;
  • Produce outdated information;
  • Confuse businesses, events, locations, dates, or services;
  • Misinterpret Platform data;
  • Misinterpret external information;
  • Provide links that later change or become unavailable; or
  • Generate responses that sound confident even when information is incomplete or incorrect.

Cora's responses are not guaranteed to be accurate, complete, current, or error-free.

Users should independently verify important information before relying on it.

This is particularly important for information involving:

  • Event dates or times;
  • Reservations;
  • Business hours;
  • Prices;
  • Availability;
  • Road closures;
  • Traffic;
  • Bridge conditions;
  • Beach or ocean conditions;
  • Public safety;
  • City services;
  • Government services;
  • Transportation;
  • Health or safety information; and
  • Other time-sensitive information.

Not Professional Advice

Cora does not provide professional legal, medical, financial, tax, emergency, engineering, safety, or other professional advice.

Do not rely solely on Cora for decisions where incorrect information could result in significant financial, legal, health, or safety consequences.

Emergencies

Cora is not an emergency service.

If you believe there is an emergency or immediate threat to health or safety, contact 911 or the appropriate emergency authority directly.

Do not use Cora as a substitute for police, fire, emergency medical services, lifeguards, government emergency alerts, or official emergency communications.

Third-Party Information

Some information provided through Cora may originate from businesses, organizations, public sources, government sources, third-party websites, or other external providers.

The 92118 Collective does not control all third-party information and cannot guarantee its continued accuracy or availability.

BUSINESS INTELLIGENCE AND ANALYTICS DISCLAIMER

Business Accounts may have access to analytics, intelligence dashboards, check-in metrics, engagement data, estimated performance information, or other insights.

These tools are intended for informational and business-planning purposes.

Metrics may be based on limited Platform activity and may not represent all customers, transactions, residents, visitors, revenue, or market activity.

Analytics may contain estimates, aggregations, incomplete information, delays, or technical errors.

The 92118 Collective does not guarantee that analytics or intelligence reports will produce a particular business result or accurately represent a business's total performance.

Businesses remain responsible for their own business decisions.

EVENTS

The Platform may display events created by The Collective, businesses, organizations, residents, or third parties.

Unless expressly identified as an event produced by The 92118 Collective, inclusion of an event on the Platform does not mean that The Collective organizes, operates, sponsors, endorses, or controls the event.

Event information may change.

Users should verify important event details with the applicable organizer when necessary.

An RSVP through the Platform does not necessarily guarantee:

  • Admission;
  • Seating;
  • Tickets;
  • Availability;
  • Entry to a private venue; or
  • Acceptance by an event organizer.

Any ticketing, attendance, refund, cancellation, age, safety, or participation terms imposed by an event organizer may also apply.

GIGS AND OPPORTUNITIES

The Platform may allow businesses, organizations, or users to publish local gigs, projects, temporary opportunities, or other opportunities.

The 92118 Collective is not an employer, staffing company, employment agency, or recruiter merely because a gig appears on the Platform.

We do not guarantee:

  • The accuracy of a gig posting;
  • That an applicant will be selected;
  • The qualifications of an applicant;
  • Payment by the person offering the gig;
  • Performance by the person accepting the gig; or
  • The legality or suitability of a particular working arrangement.

Parties are responsible for conducting their own due diligence and complying with applicable employment, independent-contractor, tax, licensing, insurance, and other legal requirements.

USER AND BUSINESS CONTENT

Users and businesses may be permitted to submit information including:

  • Business descriptions;
  • Photos;
  • Logos;
  • Event information;
  • Gigs;
  • Unlocks;
  • Comments;
  • Profile information; and
  • Other content.

You retain ownership of content you own.

By submitting content to the Platform, you grant The 92118 Collective a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, distribute, and use that content as reasonably necessary to operate, promote, market, and improve The Collective and your participation in it.

You represent that you have the right to provide the submitted content and that our permitted use will not violate another person's rights.

We may remove content that is inaccurate, unlawful, infringing, misleading, inappropriate, outdated, or inconsistent with these Terms.

ACCEPTABLE USE

You agree not to:

  • Use the Platform for unlawful purposes;
  • Impersonate another person or business;
  • Submit materially false or misleading information;
  • Interfere with Platform security;
  • Attempt unauthorized access;
  • Scrape, harvest, copy, or systematically extract Platform data without authorization;
  • Introduce malware or malicious code;
  • Abuse messaging or communication features;
  • Harass other users or businesses;
  • Manipulate ratings, check-ins, referrals, Keys, Unlocks, analytics, or recommendations;
  • Use automated systems to create artificial engagement;
  • Circumvent access controls; or
  • Use the Platform in a manner that materially interferes with another person's use of the service.

SMS/TEXT MESSAGE COMMUNICATIONS

By providing your mobile telephone number to The 92118 Collective and, where required, affirmatively opting in to text-message communications, you agree to receive text messages at the number you provide.

Messages may include:

  • Account verification;
  • Account notifications;
  • Community updates;
  • Event information;
  • Alerts;
  • Key or Unlock information;
  • Membership communications;
  • Customer support;
  • Service-related communications;
  • Promotions and marketing where you have provided the required consent; and
  • Other communications related to The 92118 Collective.

Messages may be sent using an automated system or other automated technology.

Consent to receive marketing or promotional text messages is not a condition of purchase, membership, or use of the Platform.

Message frequency varies.

Message and data rates may apply depending on your carrier and mobile plan.

Opting Out

You may withdraw your consent to receive applicable text messages at any time.

You may reply:

STOP

to cancel text communications sent through a reply-enabled messaging program.

You may also use another reasonable method communicated by us for revoking consent.

You may reply:

HELP

for assistance where supported.

After an opt-out request, you may receive a one-time confirmation message acknowledging your request.

Opting out of promotional text messages does not necessarily prevent us from sending legally permitted non-marketing messages that are necessary to complete a transaction, provide requested services, protect your account, respond to you, or address account security.

For additional assistance, contact us using the customer-care contact information displayed on the Platform.

Mobile carriers are not liable for delayed or undelivered messages.

You are responsible for providing an accurate mobile number and informing us if that number changes.

You represent that you are the subscriber or an authorized user of the mobile number you provide.

Our collection and use of mobile telephone information is described further in our Privacy Policy.

EMAILS AND OTHER COMMUNICATIONS

By creating an account, you agree that we may send you service-related communications necessary to operate your account.

These may include:

  • Verification emails;
  • Security notices;
  • Account notices;
  • Subscription notices;
  • Payment notices;
  • Changes to these Terms;
  • Changes to services;
  • Key or Unlock activity;
  • Responses to support requests; and
  • Other administrative communications.

Where required by law, marketing communications will include an appropriate method for unsubscribing.

You may not be able to opt out of communications strictly necessary to maintain, secure, or administer an active account.

Communications from Participating Businesses

By creating or using an account, you acknowledge and agree that participating businesses may contact you directly regarding their business, events, offers, services, opportunities, or your interactions with them, subject to applicable law and any additional consent required for a particular communication method.

Communications sent by a participating business are sent through that business's own communication channels and are not controlled by The 92118 Collective. If you no longer wish to receive communications from a participating business, you must use the unsubscribe or opt-out method provided by that business or contact that business directly. Unsubscribing from The 92118 Collective's communications does not automatically unsubscribe you from communications sent independently by participating businesses, and vice versa.

PRIVACY

Participating Business Data Sharing

By creating or using an account, you acknowledge that contact information you provide to The 92118 Collective, including your name, email address, mobile phone number, and other contact details, may be disclosed to participating businesses in connection with your use of the Platform and its features. Such disclosure may occur, for example, when you RSVP to an event, apply to a gig, check in, redeem an Unlock, request information, interact with a business, or otherwise use a feature involving that business.

Participating businesses are independent third parties. Once information is provided to a participating business, that business is responsible for its own collection, use, storage, and communications practices, subject to applicable law. Additional details regarding our information-sharing practices are described in our Privacy Policy.

THIRD-PARTY BUSINESSES AND SERVICES

Businesses displayed on The 92118 Collective are independent third parties unless expressly stated otherwise.

The presence of a business on the Platform does not create:

  • A partnership;
  • Joint venture;
  • Employment relationship;
  • Franchise;
  • Agency relationship; or
  • Guarantee by The Collective.

Transactions between a user and a business are generally transactions directly between those parties.

The Collective is not responsible for a third party's:

  • Products;
  • Services;
  • Prices;
  • Employees;
  • Safety practices;
  • Reservations;
  • Refunds;
  • Payment processing;
  • Representations;
  • Availability; or
  • Conduct.

Nothing in these Terms limits rights you may have directly against a business under applicable law.

PLATFORM AVAILABILITY

We aim to provide a reliable Platform but cannot guarantee uninterrupted availability.

The Platform may occasionally be unavailable because of:

  • Maintenance;
  • Updates;
  • Internet interruptions;
  • Hosting issues;
  • Third-party services;
  • Cybersecurity events;
  • Software errors;
  • API failures;
  • Artificial intelligence service interruptions;
  • Events beyond our reasonable control; or
  • Other technical circumstances.

We may modify or discontinue features where reasonably necessary.

INTELLECTUAL PROPERTY

The Platform and its proprietary technology, branding, layout, software, databases, designs, text, graphics, Cora experience, Key system, and other materials owned by The 92118 Collective are protected by applicable intellectual property laws.

Except for rights expressly granted under these Terms, no ownership rights are transferred to users or businesses.

You may not copy, reproduce, distribute, reverse engineer, commercially exploit, or create unauthorized derivative works from proprietary Platform materials without our written permission.

Third-party names, logos, trademarks, photographs, and other materials remain the property of their respective owners.

DISCLAIMERS

To the fullest extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis.

We do not guarantee that:

  • The Platform will always be available;
  • All information will be accurate;
  • All businesses will honor every offer;
  • Every event will occur as listed;
  • Every gig will be legitimate or available;
  • Cora will provide correct responses;
  • Business analytics will be complete;
  • Participation will produce financial benefits;
  • Featured status will generate customers; or
  • Key participation will result in any specific benefit.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable consumer protection law.

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, The 92118 Collective and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Platform.

This includes, where legally permissible, losses resulting from:

  • Third-party business conduct;
  • Unredeemed Unlocks;
  • Event cancellations;
  • Gig disputes;
  • Incorrect Cora responses;
  • Lost business opportunities;
  • Lost revenue;
  • Platform interruptions;
  • User-generated content; or
  • Third-party information.

To the maximum extent permitted by law, our aggregate liability arising from the Platform will not exceed the greater of:

(a) the amount you paid directly to The 92118 Collective during the twelve months preceding the event giving rise to the claim; or (b) $100.

This limitation does not apply where applicable law prohibits such a limitation.

INDEMNIFICATION

To the extent permitted by law, Business Account holders agree to indemnify and hold harmless The 92118 Collective from third-party claims, damages, liabilities, or reasonable expenses arising from:

  • The business's goods or services;
  • The business's Unlocks;
  • Content submitted by the business;
  • The business's violation of law;
  • Infringement caused by content provided by the business; or
  • The business's material violation of these Terms.

This provision does not require a party to indemnify The Collective for liability that applicable law prohibits us from shifting to another party.

CHANGES TO THESE TERMS

We may update these Terms as the Platform evolves or as legal requirements change.

If we make a material change, we may provide notice through:

  • Email;
  • The Platform;
  • Account notifications; or
  • Another reasonable communication method.

The updated Terms will identify their effective date.

Continued use after the effective date may constitute acceptance where legally permissible.

Where applicable law requires separate affirmative consent to a particular change, we will request that consent.

GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law applies.

Any dispute arising out of or relating to these Terms or the Platform that is brought in court shall be brought in a court of competent jurisdiction located in San Diego County, California, unless applicable law gives you the right to bring the matter elsewhere.

Nothing in these Terms limits any non-waivable consumer right or remedy provided under applicable California or federal law.

SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect.

NO WAIVER

Failure by The 92118 Collective to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision later.

ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional terms expressly presented and accepted for a particular subscription, promotion, purchase, feature, or service, constitute the agreement between you and The 92118 Collective regarding your use of the Platform.

If additional terms expressly applicable to a particular paid product conflict with these general Terms, the more specific terms will control for that product.
